1. Agreement to These Terms

These Terms and Conditions (“Terms”) govern your access to and use of websites, digital products, courses, coaching services, appointments, memberships, communities and other services offered by Laughing Vikings Inc., operating Joey Freddy Larsen, Actors Audition Club and related programs (“we,” “us” or “our”). By purchasing, accessing or using our products or services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not purchase or use the applicable product or service.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our products and services. We do not knowingly sell directly to anyone under 18 without appropriate parent or guardian involvement.

4. Products and Services

Specific descriptions, inclusions, prices, currencies, access periods, schedules, guarantees and other material terms are presented on the applicable sales, checkout or booking page. Those product-specific terms form part of these Terms. If a product-specific term conflicts with these general Terms, the product-specific term governs for that product to the extent permitted by law.

We may make reasonable updates to curriculum, delivery methods, schedules, instructors, technology or supporting materials where the essential nature of the purchased product or service is not materially reduced.

5. Prices, Payment and Taxes

Prices are displayed before purchase and may be shown in Canadian dollars or another stated currency. Applicable taxes may be added. You authorize our payment providers to charge the payment method you provide for the amount and schedule displayed at checkout.

You are responsible for providing accurate billing information and for any currency-conversion charges, banking fees or taxes imposed by your payment provider or jurisdiction.

6. Subscriptions and Memberships

If you purchase a recurring membership or subscription, you authorize recurring charges at the price and frequency disclosed at checkout until cancelled. Unless otherwise stated, cancellation stops future renewals and does not retroactively refund charges already processed.

You may cancel through the available account settings or by contacting [email protected]. Cancellation requests should be submitted before the next billing date. Any non-waivable rights under applicable consumer law continue to apply.

7. Refunds and Guarantees

Refund rights and guarantees vary by product and are stated on the applicable sales or checkout page.

The Unforgettable Auditions Toolkit currently includes a 30-day money-back guarantee. To request a refund under that guarantee, contact us within 30 days of purchase at [email protected].

Unless a specific refund policy or guarantee is offered, purchases are final to the extent permitted by applicable law. Nothing in these Terms limits rights or remedies that cannot legally be excluded or waived.

8. Coaching Appointments, Scheduling and Cancellations

Coaching and appointment services may be subject to scheduling, rescheduling, lateness, cancellation or no-show policies displayed during booking or in the confirmation message. Those policies form part of your agreement for that appointment.

You are responsible for attending on time, providing requested materials and maintaining the technology needed for virtual sessions. We may reschedule a session when reasonably necessary and will provide notice where practicable.

9. Digital Access and Accounts

Digital products are licensed to one purchaser for personal, non-commercial use unless expressly stated otherwise. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.

You may not share account access, distribute course materials, reproduce paid content, record sessions without permission, circumvent access controls or allow others to use a product through your account. We may suspend or terminate access for material or repeated violations.

10. Intellectual Property

Our websites, training, videos, audio, downloads, frameworks, written materials, branding and other content are owned by or licensed to Laughing Vikings Inc. and protected by intellectual-property laws. No ownership rights are transferred to you.

You receive a limited, revocable, non-exclusive and non-transferable licence to use purchased materials for your own personal learning and professional preparation. You may not copy, sell, sublicense, publish, teach, adapt, distribute or commercially exploit our materials without written permission.

11. User Content and Participation

You retain ownership of original content you submit. You grant us the limited rights reasonably necessary to host, process and use that content to provide the service you requested. We will not use your name, image, testimonial, audition recording or work publicly for promotional purposes without permission.

You are responsible for having the right to share scripts, recordings, photographs and other materials you provide. Do not upload confidential or restricted material unless you are authorized to do so.

12. Community Conduct

When participating in a membership, group program, call or community, you agree to communicate respectfully and not harass others, impersonate another person, distribute unlawful or infringing content, solicit members without permission, disrupt the service or misuse another participant’s confidential information. We may remove content or restrict participation where reasonably necessary to protect the community or enforce these Terms.

13. Educational and Professional Disclaimer

Our products and services provide education, coaching, rehearsal support and professional-development tools. They do not guarantee auditions, representation, callbacks, bookings, employment, income or career outcomes. Casting and employment decisions depend on many factors outside our control.

You remain responsible for your artistic, professional, financial and career decisions. Nothing we provide constitutes legal, financial, medical or mental-health advice.

14. Testimonials and Results

Testimonials describe individual experiences with Joey Freddy Larsen, Actors Audition Club, related coaching or specific products as identified. They are not promises that every customer will achieve the same result. Results vary based on experience, effort, circumstances, opportunities and factors outside our control.

15. Third-Party Platforms and Services

Our services may rely on third parties such as Kajabi, Acuity Scheduling, Stripe, PayPal, Zapier, Google, Meta, video-conferencing providers and other technology vendors. Their services are governed by their own terms and policies. We are not responsible for interruptions, changes or acts outside our reasonable control, but we will take reasonable steps to address service issues affecting our obligations.

16. Availability and Changes

We aim to provide reliable access but do not guarantee that websites, platforms or digital content will be continuously available without interruption. Maintenance, security issues, vendor outages or events beyond our reasonable control may temporarily affect access.

17. Acceptable Use

You may not use our websites or services to violate law, infringe rights, transmit malicious code, attempt unauthorized access, scrape or copy protected content, interfere with other users, misrepresent your identity or use the service for an unauthorized commercial purpose.

18. Disclaimer of Warranties

To the maximum extent permitted by law, products and services are provided on an “as is” and “as available” basis. We do not make warranties beyond those expressly stated on the applicable sales page or required by law. Nothing in these Terms excludes statutory warranties, conditions or consumer rights that cannot be excluded.

19. Limitation of Liability

To the maximum extent permitted by law, Laughing Vikings Inc. and its directors, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, opportunities, data or goodwill arising from use of the products or services.

Where liability cannot be excluded, our aggregate liability relating to a product or service will not exceed the amount you paid for that product or service during the twelve months preceding the event giving rise to the claim, except where applicable law requires otherwise.

20. Indemnity

To the extent permitted by law, you agree to indemnify Laughing Vikings Inc. from third-party claims, losses or expenses arising from your unlawful conduct, infringement of another person’s rights, unauthorized use of materials or material violation of these Terms.

21. Termination

You may stop using our services at any time, subject to payment obligations and product-specific cancellation terms. We may suspend or terminate access for non-payment, unlawful conduct, security risks or material or repeated violations of these Terms. Where reasonable, we will provide notice and an opportunity to address the issue.

22. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without limiting any mandatory consumer rights that apply in your place of residence. The courts located in Toronto, Ontario will have jurisdiction, subject to any rights you may have under applicable law.

23. Changes to These Terms

We may update these Terms as our products, practices or legal obligations change. The current version will be posted with its “Last updated” date. Material changes affecting an existing paid service may be communicated where appropriate.

24. General Provisions

If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not transfer your agreement without our written consent. We may transfer our rights and obligations in connection with a reorganization, sale or transfer of the business, subject to applicable law.
